Terms of Service

1. Acceptance of terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. The Service

Partprice.ai monitors publicly available prices for the industrial and MRO items you add to your watchlist and notifies you of changes. The Service combines automated and manually maintained processes and is provided on a best-effort basis. We may add, change, or remove features at any time.

3. Accounts

• You must be at least 18 years old and able to form a binding contract to use the Service.
• You agree to provide accurate, current information and to keep it updated.
• You are responsible for safeguarding your login credentials and for all activity under your account.
• Notify us promptly of any unauthorized use of your account.

4. Subscriptions & billing

• Plans. The Service is offered on subscription plans billed every six months or annually, as described on our pricing page.
• Free trial. If a free trial is offered, your subscription begins automatically at the end of the trial unless you cancel before it ends.
• Auto-renewal. Subscriptions renew automatically at the end of each term until you cancel.
• Payment. Payments are processed through our third-party payment processor. By subscribing, you authorize us to charge the applicable fees to your payment method.
• Cancellation. You may cancel at any time from your billing page. Cancellation takes effect at the end of the current billing period, and your access continues until then. Except where required by law, fees already paid are non-refundable and we do not provide prorated refunds.
• Price changes. We may change our fees. Any change will apply to your next renewal, and we will provide notice in advance.

5. Pricing data disclaimer

Prices displayed do not reflect your negotiated or contract pricing, taxes, shipping, fees, availability, or seller-specific terms, and may differ from the price you are ultimately offered. The Service is provided for informational purposes only and does not constitute an offer, quote, or guarantee of any price or of any savings.

You are solely responsible for verifying current prices, availability, and terms directly with the relevant seller before making any purchasing decision. We are not a party to, and are not responsible for, any transaction between you and a distributor or seller.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Resell, redistribute, or commercially exploit data from the Service without our written permission.
• Scrape, reverse engineer, decompile, or attempt to access the Service in an unauthorized manner.
• Interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure.
• Infringe the intellectual property or other rights of Partprice.ai or any third party.

7. Your content

You retain ownership of the part lists, target prices, and other data you submit ("Your Content"). You grant us a limited license to host, process, and use Your Content solely to operate and improve the Service. You represent that you have the right to submit Your Content and that doing so does not violate any law or third-party right.

8. Intellectual property

The Service, including its software, design, and the Partprice.ai name and logo, is owned by Sumoptim LLC and protected by intellectual property laws. All third-party brand and distributor names and trademarks referenced in the Service — such as Grainger, MSC Industrial, Zoro, Amazon Business, and others — are the property of their respective owners. We are not affiliated with, endorsed by, or sponsored by these companies.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that the price data will be accurate, complete, or current, or that use of the Service will result in any particular savings.

10. Limitation of liability

To the maximum extent permitted by law, Sumoptim LLC and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business, arising out of or related to your use of the Service. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Sumoptim LLC from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

12. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

13. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, provide additional notice as appropriate. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in New York.
